The acquisition involves purchasing a 43.96% stake from Japan's Sumitomo Corporation and a 15% stake from Isuzu Motors. Additionally, M&M will launch a mandatory open offer for up to 26% more of SML Isuzu's shares at ₹1,554.60 per share, significantly lower than the current market price of around ₹1,773.40 .

The announcement sent shockwaves through the market, leading to a sharp decline in SML Isuzu's stock price. Investors reacted negatively to the substantial discount on the open offer price compared to the prevailing market value, raising concerns about the valuation and the potential dilution of their holdings.

Mahindra's strategic move aims to bolster its presence in India's truck and bus market, increasing its market share from 3% to 6%, with a long-term goal of reaching 12% by fiscal year 2031 . This acquisition aligns with Mahindra's vision of delivering significant growth in emerging business sectors, as stated by Mahindra Group CEO Anish Shah. The deal also reflects Isuzu Motors' strategy to exit low-profit businesses, as it had previously considered selling its 44% stake in SML Isuzu .

In the wake of the announcement, SML Isuzu's stock experienced heightened volatility, with trading volumes surging and the share price reaching the lower circuit limit. Investors and market analysts are closely monitoring the developments, particularly the outcome of the open offer and its implications for shareholder value and corporate governance. The situation underscores the complexities and sensitivities involved in corporate acquisitions, especially when they involve significant changes in ownership and potential impacts on existing shareholders.

As the open offer progresses, stakeholders are advised to stay informed about regulatory approvals, shareholder responses, and any further announcements from Mahindra & Mahindra and SML Isuzu. The outcome of this acquisition could have far-reaching effects on the commercial vehicle industry in India, influencing market dynamics, competition, and investment strategies in the sector.
